1. Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of LexiRank, including our websites, dashboards, APIs, and related services. By creating an account, accessing the platform, or using any part of LexiRank, you agree to be bound by these Terms.

If you are using LexiRank on behalf of an organization, you accept these Terms for that entity and confirm you have the authority to bind the organization. If you disagree with any part of these Terms, do not use the service.

2. Account Registration & Security

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity that occurs under your account and for notifying LexiRank immediately if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these Terms or cause harm to the platform or other users.

3. Subscriptions & Payment

LexiRank offers both free evaluation access and paid subscription plans. Pricing, billing cadence, and plan limitations are specified during checkout and may be updated with prior notice.

• Renewals. Paid subscriptions renew automatically at the end of each billing cycle unless canceled in your account settings or by contacting support.
• Cancellations. You can cancel at any time; access will continue through the end of the current billing period. Fees already paid are non-refundable unless we are required to refund by applicable law.
• Taxes. You are responsible for any taxes, duties, or government charges associated with your subscription. When required, LexiRank will collect taxes at checkout.

4. Acceptable Use

You agree not to misuse LexiRank. Prohibited conduct includes but is not limited to:

• Security violations. Attempting to probe, scan, or test the vulnerability of our systems or networks.
• Data abuse. Harvesting or redistributing platform data in violation of these Terms or applicable laws.
• Unauthorized access. Using another user’s credentials or sharing your access beyond your authorized team.
• Interference. Deploying automated systems that degrade platform performance or disrupt other users.

5. Intellectual Property

LexiRank retains all rights, title, and interest in and to the platform, including software, visual design, and documentation. No rights are granted except those explicitly stated in these Terms.

You may not reverse engineer, decompile, or attempt to access the source code of the platform except as expressly permitted by law.

6. Customer Content & Confidentiality

You retain ownership of the data and content you submit to LexiRank. By uploading or connecting data, you grant us a limited license to process and store it for the purpose of providing the services.

Both parties agree to keep confidential information received from the other party secure and to use it only for fulfilling obligations under these Terms.

7. Feedback

Suggestions, feature ideas, or feedback you provide may be used by LexiRank without restriction or obligation. Sharing feedback does not entitle you to compensation or ownership rights.

8. Third-Party Services

LexiRank may integrate with third-party APIs, data sources, or applications. Your use of those services is subject to the third-party’s terms and privacy policies. LexiRank is not responsible for third-party services and does not guarantee their continued availability.

9. Termination

You can stop using LexiRank at any time. We may suspend or terminate your access if you breach these Terms, cause risk to the platform, or decline to pay fees when due.

Upon termination, your right to access the platform ends immediately. Sections of these Terms that by their nature should survive termination will remain in effect, including confidentiality, intellectual property, indemnification, and limitations of liability.

10. Disclaimers

LexiRank provides insights and analytics that depend on third-party AI systems and data sources. We do not guarantee complete accuracy, uninterrupted availability, or fitness for a particular purpose.

The platform is provided on an “as-is” and “as-available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory.

11. Limitation of Liability

To the extent permitted by law, LexiRank and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data.

Our aggregate liability for any claim arising from or related to these Terms will not exceed the amount you paid to LexiRank in the twelve months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless LexiRank, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the platform, violation of these Terms, or infringement of third-party rights.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. The parties agree to resolve disputes through good-faith negotiations. If a dispute cannot be resolved informally, the parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

14. Security & Compliance

LexiRank maintains controls designed to protect the confidentiality, integrity, and availability of the service. We will notify you of any unauthorized access to your data as required by applicable law.

15. Modifications to the Terms

We may update these Terms to reflect product changes, legal requirements, or business needs. When changes are material, we will provide reasonable notice. Continued use of LexiRank after revised Terms become effective constitutes acceptance.
